Terms of Service

1. Acceptance of Terms

By accessing or using Spendsible ("the Service"), you agree to be bound by these Terms of Service and our Privacy Policy, which is incorporated herein by reference. If you do not agree to all of these terms, you may not use the Service.

2. Eligibility

You must be at least 18 years old, or have the consent of a parent or legal guardian, to use this application. By using Spendsible, you represent and warrant that you meet this requirement.

3. Account Responsibility

• You are responsible for maintaining the confidentiality of your account credentials.
• You are responsible for all activities that occur under your account.
• You must notify us immediately at support@spendsible.app if you suspect any unauthorised use of your account.
• We reserve the right to suspend or terminate accounts that violate these Terms.

4. Premium Subscriptions and Payments

• Certain features require a paid Premium subscription.
• Subscriptions are billed on a recurring basis (monthly or annually) until cancelled.
• Payments are processed through the Apple App Store, Google Play Store, or Stripe (for Web). Each platform's payment terms apply.
• You can cancel your subscription at any time through your device's subscription settings or the app's billing portal. Cancellation takes effect at the end of the current billing period; you retain Premium access until that date.

Refund Policy

• Monthly subscriptions: No refunds are issued for monthly subscription periods already commenced.
• Annual subscriptions: You may request a full refund within 14 days of purchase if you have not materially used the Premium features during that period. To request a refund, contact us at support@spendsible.app.
• Lifetime Access: For one-time Lifetime Access purchases, no refunds will be issued under any circumstances after 14 days from the date of purchase.
• Apple App Store and Google Play: Refunds for purchases made through these platforms are handled by Apple and Google respectively under their own refund policies. We have no control over refund decisions made by those platforms.
• Discontinuation of Service: If the Service is permanently discontinued, stopped being maintained, or becomes non-functional, any refunds will be governed solely by the standard refund policies of the respective payment platform used (Stripe, Apple App Store, or Google Play Store). No other refund channels or alternative compensation will be provided.
• Billing disputes: If you believe you have been incorrectly charged, contact us at support@spendsible.app before initiating a chargeback or payment dispute with your bank or card issuer. We will work to resolve billing issues promptly.

5. Acceptable Use

You agree not to:

• Use the Service for any illegal purpose or in violation of any applicable law or regulation.
• Attempt to gain unauthorised access to our systems, servers, or other users' accounts.
• Reverse engineer, decompile, or attempt to extract the source code of the application.
• Use the Service to store or transmit malicious code, viruses, or other harmful software.
• Scrape, harvest, or collect data from the Service by automated means without our prior written consent.
• Misrepresent your identity or impersonate any person or entity.

6. Intellectual Property

The Service, including its design, interface, code, graphics, and content, is owned by or licensed to Spendsible and is protected by copyright, trademark, and other applicable laws.

• The name "Spendsible" and associated logos are trademarks of Spendsible. You may not use them without our prior written consent.
• You are granted a limited, non-exclusive, non-transferable, revocable licence to use the Service solely for its intended personal finance management purpose.
• You may not copy, modify, distribute, sell, sublicense, or create derivative works based on any part of the Service without our express written permission.
• User-submitted data (your transactions, categories, and notes) remains your property. By using the Service, you grant Spendsible a limited licence to store and process that data solely to provide the Service to you.

7. Service Modifications and Termination

• Modifications: We reserve the right to modify, update, or discontinue any feature of the Service at any time, with or without notice, provided that material changes to paid Premium features will be communicated to active subscribers with reasonable notice.
• Suspension: We may suspend your access to the Service immediately if we reasonably believe you are in material breach of these Terms.
• Termination by us: We may terminate your account and access to the Service for cause, including but not limited to violation of these Terms, fraudulent activity, or prolonged inactivity, with or without notice.
• Termination by you: You may delete your account at any time via the Settings screen. Upon deletion, your personal data will be removed as described in our Privacy Policy.
• Effect of termination: Upon termination, all licences granted under these Terms cease immediately. Sections 6, 8, 9, and 10 survive termination.
• Discontinuation of paid features: If we permanently discontinue a specific Premium feature you have paid for, we will provide a pro-rata refund for the unused subscription period attributable to that feature, to the extent technically feasible.

8. Disclaimers

• Not Financial Advice: Spendsible is a personal finance tracking and budgeting tool. It does not provide financial, investment, tax, or legal advice. Nothing in the Service constitutes a recommendation to buy, sell, or hold any financial product.
• As-Is Basis: The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, accuracy, or non-infringement.
• Data accuracy: We do not guarantee the accuracy, completeness, or reliability of any data stored, calculated, or displayed by the Service. You are solely responsible for verifying the accuracy of your financial records.
• Third-party services: The Service integrates with third-party platforms (Apple, Google, Stripe, Firebase). We are not responsible for the availability, accuracy, or conduct of those third parties.

9. Limitation of Liability

To the maximum extent permitted by applicable law:

• Spendsible shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising from your use of or inability to use the Service.
• Our total aggregate liability to you for any claim arising from or related to these Terms or the Service shall not exceed the total amount you paid to Spendsible in the twelve (12) months preceding the claim.
• No Liability for Real-World Damages: You explicitly agree that under no circumstances shall Spendsible be held liable for, connected to, or associated with any real-world physical or practical consequences, including but not limited to financial loss, physical damage, mental distress, or personal injury resulting from any application defects, errors, or service interruptions. The sole and exclusive remedy for any app defect or dissatisfaction is the refund of fees in accordance with our Refund Policy.
• Some jurisdictions do not allow exclusion of implied warranties or limitation of liability for consequential damages, so the above limitations may not apply to you to the extent prohibited by law.

10. Governing Law and Disputes

These Terms are governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region, without regard to its conflict of law provisions.

Any dispute arising from or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If unresolved within 30 days, disputes shall be subject to the exclusive jurisdiction of the courts of Hong Kong.

11. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will notify you at least 30 days in advance by:

• Sending an email to the address associated with your account, and/or
• Displaying a prominent notice within the application.

Your continued use of the Service after the effective date of updated Terms constitutes your acceptance of those changes. If you do not agree to the updated Terms, you must stop using the Service and may delete your account before the changes take effect.
